Monthly Billing Agreement

This agreement is between CI Media Ltd, trading as SUMO Sites (“SUMO Sites”, “we”, “us”), and the business named at checkout (“you”, “the Client”). It takes effect on the date you complete checkout and agree to these terms.

In a Nutshell

• We build you a hand-coded, custom website and keep it hosted, secure, and updated.
• You pay monthly: a build-phase rate for the first 24 months, then a lower flat maintenance rate for as long as you stay with us.
• There’s no CMS to fight with and no long list of upsells — this covers a website, not marketing or lead-generation services.
• You can cancel any time; what that costs you depends on whether you want the site files — see Early Termination below.
• Full terms follow. If anything here conflicts with what your order confirmation says about your package, the order confirmation wins on price and scope; this agreement governs everything else.

Your Package

The number of pages, your monthly build-phase price, and any add-ons you’ve chosen are confirmed on your order confirmation and monthly invoice, not repeated here. This agreement covers the terms that apply to every SUMO Sites package equally.

What’s Included

• A hand-coded, custom-built website — not a page-builder template.
• Website hosting and security.
• On-page SEO foundations (fast load times, semantic markup, meta tags, a sitemap) built into every page as part of the build.
• Daily backups and uptime monitoring.
• Reasonable, ongoing update requests once your site is live (see Update Requests below).
• A 30-day money-back guarantee (see below).

What’s Not Included

SUMO Sites builds and maintains websites. We do not provide, and this agreement does not cover:

• Ongoing SEO services (keyword strategy, link building, monthly reporting).
• Google Business Profile management.
• Paid advertising, lead generation, or call-tracking services.
• E-commerce functionality, unless separately agreed in writing.

Client Responsibilities

• Provide the text, images, logo, and other content we need to build and update your site in a reasonably timely manner.
• Review and respond to requests for approval during the build.
• Keep your contact and billing details current.
• Register and maintain your own domain name (see Domain & Hosting below).

SUMO Sites Responsibilities

• Build and launch your site to a professional, hand-coded standard within the agreed timeframe.
• Host, secure, and back up your site for as long as your account is active.
• Handle update requests and support enquiries as set out below.

Revisions During the Build

Reasonable rounds of revisions are included while your site is being built. Requests that go beyond the scope of your chosen package (for example, a substantially different design direction, or pages beyond what you signed up for) may be quoted as additional work.

Update Requests (Once You’re Live)

Once your site is live, you can request changes at any time through our support form. Reasonable, ongoing updates to your existing text, images, and blog content are included at no extra charge for as long as your account is active and in good standing.

This doesn’t cover new pages, custom functionality, or third-party integrations — those are quoted separately on request. We reserve the right to decline or postpone requests that are excessive or fall outside this scope, acting reasonably and in good faith.

Support

Your Website

You own the content you provide us. Once your package is paid in full — either by completing your full build-phase term or by an early payoff under Early Termination below — you own the completed website outright, including the source files on request.

Template & Design Non-Exclusivity

Your website is built using a library of reusable design components that we also use for other clients. We don’t guarantee visual exclusivity within your industry or local area, and we may reuse layout patterns, sections, and underlying code across other clients’ websites.

Payment Terms

Billing runs monthly via Stripe, starting from the date your agreement begins. Your build-phase rate applies for the first 24 months. After that, billing continues automatically at the flat monthly maintenance rate shown on your invoice, for as long as your account remains active.

Early Termination

You can cancel at any time. What happens next depends on whether you want the website files:

• Don’t need the files: pay 50% of your remaining build-phase balance. Your site is taken down.
• Want the files (to self-host or move to another provider): pay 100% of your remaining build-phase balance. We hand over the source files.

Once your 24-month build phase is complete, monthly maintenance can be cancelled at any time with no early-termination fee — there’s no remaining balance left to accelerate.

Late Payments & Suspension

• 30+ days overdue: your site is suspended and replaced with a neutral “temporarily unavailable” page — nothing that reflects negatively on your business. We’ll contact you privately to arrange reactivation rather than displaying anything publicly.
• 90+ days overdue: treated as a cancellation without the files, per Early Termination above — 50% of your remaining build-phase balance becomes due, and the site is taken down.

30-Day Money-Back Guarantee

If you’re not satisfied within the first 30 days of signing this agreement, let us know and we’ll refund what you’ve paid. The agreement ends at that point and no further fees apply.

Domain & Hosting

You register and own your domain name directly with a registrar of your choice. We’ll configure it to point at your hosting. If you’d like us to handle domain setup on your behalf, access remains temporary and the domain stays registered in your name and under your ultimate control.

Right to Refuse or Discontinue Service

We may decline to take on, or may discontinue, a project at our discretion. If we do, we’ll refund any balance you’ve prepaid for work not yet completed.

Governing Law

This agreement is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from it.
